With a strong foundation as a corporate solicitor specialising in mid-market domestic and international M&A, Justin joined Phenna Group to take his deal-making experience in-house and hasn't looked back. Now leading on global M&A transactions, overseeing commercial real estate, and supporting corporate governance across the Group, Justin embodies the collaborative, forward-thinking mindset that defines Phenna Group.
Introduction
Can you tell us about your background and what brought you to Phenna Group?
Before joining Phenna, I qualified as a corporate solicitor and worked in private practice, focusing on mid-market domestic and international mergers and acquisitions (M&A). I advised clients on the buy-side and sell-side for these types of transactions.
I saw an opportunity to move into an "in-house" legal role whilst continuing to advise on M&A, and this always interested me. I saw how acquisitive Phenna was and saw this as a great opportunity for myself, as well as a chance to be a part of Phenna's growth journey.
What is your current role, and what does it involve day-to-day?
My current role as legal counsel is largely managing Phenna's global M&A. I am part of the deal execution team, which means I am involved throughout the acquisition process, from the point a Letter of Intent is signed to the completion of the deal. This involves managing transaction documents, reviewing due diligence, and analysing the risk profiles of every deal, as well as overseeing the general management of deals to ensure they complete as smoothly as possible.
Additionally, I also manage the commercial real estate of the group. This will involve drafting/reviewing leases, managing property exits, handling dilapidation claims, and coordinating relocation projects for the Phenna Group's businesses.
I also oversee general corporate governance and company secretarial matters to ensure the group remains compliant with relevant laws and regulations.
What attracted you to working directly for the Group?
Given my corporate law background, it was primarily due to the M&A activity Phenna was and continues to push forward with. I have also always been interested in practicing law from the Client's perspective. You really get to dive into the backbone of the business and help drive growth, feeling part of the business's success through the work we do.

How would you describe the culture and values at Phenna Group?
I believe everyone shares a similar mindset and common goals, which makes working with a variety of teams easier. Particularly in the legal team, where a truly collaborative approach motivates everyone to continue working as hard as we do.
What makes Phenna Group an exciting place to work compared with other organisations?
The pace and level of M&A undertaken makes the role exciting. You gain insight into how various TICC businesses operate and the types of work/services they offer, which makes every deal more interesting.
Can you share a project, initiative, or achievement you're particularly proud of since joining the Group?
The recent acquisitions of ISGroup, Prensa, and Atlantic Testing Laboratories are projects I am proud of. These are platform deals that have really highlighted the success that 2025 has been so far, M&A-wise, for Phenna Group.
Supporting the Group & Companies
How does your role support the wider Phenna Group and its portfolio of companies?
In terms of M&A, I manage all bolt-on acquisitions for existing group businesses, leading on all legal workstreams from transaction documents to LDD, working with the relevant divisional heads.
I also manage commercial real estate matters for the group companies, including handling new and renewal leases, as well as overseeing exits from their existing buildings.
In your experience, what's unique about how Phenna Group partners with its businesses?
Phenna Group understands that the management teams are the key to the growth of their respective businesses. It will allow them to manage the day-to-day, but Phenna is there to support where it is required. It is a collaborative approach that best serves all parties.
Can you describe a time when collaboration across the Group made a real difference?
In terms of M&A, the legal team works closely with our M&A origination/development team to help manage the transaction process from start to finish. Without all our contributions, we would not be as successful as we are in this respect.
Growth and Strategy
Phenna Group has grown rapidly – what do you think drives that success?
Having a like-minded and ambitious team, from top to bottom, with a common goal is a significant part of it. It creates an environment that encourages those around you and yourself. Speaking for the legal team specifically, working openly and collaboratively really helps achieve the results Phenna aim for.
What trends or opportunities do you see shaping the Group's future?
AI and technological advancements are significant factors in all industries, including TICC. Hopefully, with the continued growth of AI, it will help automate processes and operations, thereby increasing efficiencies.
How do you see your role evolving as the Group continues to expand?
Since joining in March 2023, I have progressed from Assistant Legal Counsel to Legal Counsel, assuming a leading role in our global M&A and supporting our group businesses on various matters. The aim is to maintain this momentum with the M&A and general support coming in thick and fast.
Personal Perspective
What do you enjoy most about working here?
The variety of M&A transactions that Phenna undertakes is a significant bonus. You dive into how different TICC businesses operate. Given the breadth of the TICC sector, every deal becomes interesting. The fast-paced nature of our acquisitions certainly keeps you on your toes as well.
What's one thing you've learned during your time at Phenna Group that has really stuck with you?
How driven everyone is and how aligned we are to achieve the growth and development of the group. Everyone has really bought into the "Phenna" way.
Outside of work, what are you passionate about or enjoy doing?
I try to stay as active as I can (although not as much as I should) by training at the gym and playing sports whenever I can fit them in. I enjoy travelling, visiting new places, and embracing new cultures too.
Can you tell us something that others might not know about you?
I played tennis to a decent national level; however, age (and my bad back) has got the better of me, and I do not play as much as I would like.
